O que é.
A well-structured ESG committee is what separates companies that publish an annual report from companies that build sustainability into business decisions. Mangue Tech designs the full governance model: membership, mandate, frequency, agenda, tracking metrics and reporting to the board.
We define clear roles: who collects data, who validates, who decides, who reports. We set the rituals (monthly meetings, quarterly reviews, board updates) and the progress KPIs. The goal is for ESG to run like any other management process in the company.
For listed companies, we align the structure with the governance requirements of IFRS S1 (the Governance pillar) and CSRD/ESRS (ESRS 2 GOV-1 to GOV-5). For family-owned or pre-IPO companies, we adapt the model to the organization's maturity.

Serve para empresa familiar ou só para companhia aberta?
Serve para as duas, com desenhos diferentes. Em companhia aberta, a Mangue alinha a estrutura aos requisitos de governança da norma IFRS S1 e ao ESRS 2 (GOV-1 a GOV-5) da diretiva europeia CSRD, obrigatória para quem está no escopo dela. Em empresa familiar ou pré-IPO, o modelo é adaptado à maturidade organizacional.
Preciso de comitê ESG se já publico relatório de sustentabilidade?
Relatório e governança são coisas diferentes. O comitê estruturado separa a empresa que entrega o relatório anual da que usa a agenda ESG (ambiental, social e de governança) nas decisões de negócio: composição, mandato, pauta, papéis e reporte ao conselho, para o tema não depender de uma única pessoa.
O que não está incluído na estruturação do comitê?
O serviço desenha a governança: composição, mandato, frequência, pauta, papéis (quem coleta o dado, quem valida, quem decide, quem reporta), KPIs, os indicadores de progresso, e o reporte ao conselho. Não inclui certificação, auditoria nem verificação: o parecer de terceira parte é emitido por organismo verificador externo. A Mangue prepara e acompanha.
Qual norma o comitê ESG precisa atender?
Depende do mercado. A Mangue alinha a estrutura ao pilar Governança da norma IFRS S1 e ao ESRS 2 (GOV-1 a GOV-5) da diretiva europeia CSRD, obrigatória para quem está no escopo dela. No Brasil, o reporte é voluntário desde a Resolução CVM 244 (maio de 2026), sob publique ou explique: quem não publica justifica.
